1. Scope & Agreement
These Terms of Service (the "Terms") form a binding agreement between you and Ageontic (doing business as "Ageontic", "we", "us", or "our") and apply to your access to and use of the Ageontic website, hosted applications, APIs, agent templates, documentation, and related services (collectively, the "Services"). By accessing or using the Services, you confirm that you are at least 18 years old, have authority to bind the entity you represent (if any), and agree to these Terms and any supplemental agreement governing a specific feature.
2. Acceptable Use
- Do not use the Services to violate any law, regulation, court order, or contractual obligation.
- Respect intellectual property, privacy, publicity, and other third-party rights when uploading data or deploying agents.
- Follow all website terms of service, robots.txt directives, and rate limits before scraping or crawling external content.
- Do not create, train, or operate agents for high-risk scenarios (medical, legal, financial, safety-critical, or government decision-making) without direct supervision by appropriately licensed professionals and clear downstream disclosures.
- Do not use the Services to generate spam, malware, deepfakes, discriminatory content, or anything intended to mislead or exploit end users.
- Do not use the Services in violation of applicable export control or economic sanctions laws, or if you are located in an embargoed jurisdiction or listed on a government restricted-party list.
3. Accounts & Customer Responsibilities
You are solely responsible for:
- Providing accurate account information, safeguarding account credentials, and promptly notifying us of suspected unauthorized access.
- All activity under your account and the acts and omissions of people you authorize to use it.
- Obtaining all necessary rights, permissions, and lawful bases for data you upload, process, or direct the Services to fetch.
- Reviewing, testing, and approving agent behavior before deploying it to end users.
- Providing accurate, prominently displayed disclaimers to your users whenever output may be incomplete, outdated, or require professional judgment.
- Clearly informing your end users that they are interacting with an AI system, and providing any other AI transparency disclosures required by the laws that apply to your deployment.
- Maintaining appropriate administrative, technical, and physical safeguards for any personal or confidential data used with the Services.
4. Data & Privacy
Our handling of personal data is described in our Privacy Policy. You must not submit personal data unless you have a lawful basis to do so and have implemented safeguards consistent with applicable privacy and data-protection laws. If we process personal data on your behalf, the parties may enter into a Data Processing Addendum where required.
Our website uses cookies and similar technologies for strictly necessary functions (such as secure authentication and account sessions), limited preference functionality (such as remembering your selected pricing currency via the pricing_currency cookie), and — only if you consent via the cookie notice — analytics that help us understand how visitors use the public site. We do not use advertising cookies. See the Cookie Policy for the full inventory. You can control cookies in your browser settings, but blocking essential cookies may impact login and core site functionality.
5. Third-Party Integrations
The Services may connect to third-party APIs, models, or data sources. Those third parties are independent controllers of their own services. You are responsible for reviewing and complying with their terms, including usage caps, data-retention policies, and attribution requirements.
Google user data. If you sign in with Google or connect Google Calendar to an agent, Ageontic's use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements. A full description of the Google user data we access, how we use, share, store, and protect it, how long we retain it, and how you can have it deleted is set out in the Google User Data section of our Privacy Policy.
6. Fees, Subscriptions & Payments
- Paid plans are billed as subscriptions (monthly or annual) and processed by our payment provider, Stripe. We do not store full card details on our servers.
- Subscriptions renew automatically at the end of each billing period until cancelled. You can cancel at any time from your account or by contacting us; cancellation stops future renewals, and access continues until the end of the period already paid for.
- Except where required by applicable law, fees already charged are non-refundable, including for partially used billing periods.
- Prices may change; changes take effect from your next billing period after reasonable notice.
- Taxes (such as VAT or sales tax) may be added where required by law.
- Account credits, where offered, may be applied to eligible charges as described in the portal; they have no cash value and are non-transferable.
7. Service Changes & Availability
We may modify, suspend, or discontinue any portion of the Services at any time. We aim to provide high availability, but the Services are offered on an "as is" and "as available" basis without guarantees of uninterrupted or error-free operations. Scheduled maintenance or emergency updates may limit access without notice.
Features identified as beta, preview, or experimental are provided as-is for evaluation, may be changed or withdrawn at any time, and may be subject to additional terms presented with the feature.
8. Intellectual Property
Ageontic and its licensors retain all rights, title, and interest in the Services and associated intellectual property. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Services during your subscription. Except as permitted by law, you may not decompile, reverse engineer, or create derivative works from the Services.
You retain ownership of content you submit to the Services. You grant us and our subprocessors a worldwide, non-exclusive licence to host, copy, transmit, display, modify, and process that content only as necessary to provide, secure, support, and maintain the Services and comply with law. As between you and Ageontic, and to the extent permitted by law, you own output generated specifically for you, subject to third-party rights and the possibility that similar output may be generated for others.
Copyright complaints. If you believe content available through the Services infringes your copyright, send a notice to info@ageontic.com identifying the copyrighted work, the location of the allegedly infringing material, your contact details, a statement that you have a good-faith belief the use is unauthorized, and a statement, under penalty of perjury, that your notice is accurate and that you are the rights holder or authorized to act for them. We may remove or disable access to material in response to valid notices and may suspend or terminate accounts of repeat infringers.
9. Feedback
Any suggestions, recommendations, or improvements you submit are voluntary. We may use such feedback without obligation or restriction.
10. Disclaimers
- Outputs generated by AI models may be inaccurate, incomplete, or biased. You must independently verify critical information.
- The Services do not provide legal, medical, financial, or other regulated professional advice. Always consult qualified professionals for such matters.
- Ageontic is not responsible for loss or damage caused by reliance on AI-generated content or automated actions configured by you.
11. Limitation of Liability
To the fullest extent permitted by law, Ageontic and its affiliates will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, revenues, data, or goodwill, even if we have been advised of the possibility of such damages. Our aggregate liability for claims arising out of or relating to the Services is limited to the greater of (a) the amounts you paid for the Services in the six months preceding the claim, or (b) one hundred U.S. dollars (USD $100.00).
Nothing in these Terms excludes or limits liability, warranties, or consumer rights that cannot lawfully be excluded or limited.
12. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Ageontic, its affiliates, officers, employees, and agents from third-party claims, damages, liabilities, and reasonable legal expenses arising from your content, your unlawful use of the Services, or your material breach of these Terms. We will promptly notify you of a covered claim, provide reasonable cooperation at your expense, and allow you to control its defence and settlement, provided that no settlement admits fault by or imposes obligations on Ageontic without our written consent.
13. Term & Termination
We may suspend or terminate access if we reasonably believe you violated these Terms or applicable law, your use creates a security or legal risk, or payment is overdue. Where reasonably practicable, we will give notice and an opportunity to remedy the issue. Upon termination you must cease use of the Services. You should export content you need before termination; deletion is handled as described in the Privacy Policy and any applicable Data Processing Addendum. Provisions that by their nature should survive, including ownership, payment obligations, disclaimers, liability limitations, indemnities, and dispute terms, remain in effect.
14. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Delaware, excluding its conflict-of-laws rules. Any disputes will be resolved exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction. Mandatory consumer protections and rights to bring claims in another forum remain unaffected where applicable.
15. Changes to These Terms
We may update these Terms from time to time. We will post revisions with an updated effective date and provide reasonable advance notice of material changes where required. Changes will apply prospectively. If you do not agree to a material change, you may stop using the Services and cancel before it takes effect.
16. General
Neither party is liable for delay or failure caused by events beyond its reasonable control. You may not assign these Terms without our written consent; we may assign them as part of a merger, reorganization, sale of assets, or by operation of law. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue. A failure to enforce a provision is not a waiver. These Terms, the Privacy Policy, any applicable order, and any supplemental written agreement form the entire agreement concerning the Services and supersede prior discussions on that subject.
